Terms of Service.

Introduction & Acceptance
Welcome to Valpurgis (“we,” “our,” “us”). These Terms of Service (“Terms”) govern your access and use of our influencer marketing, talent management, creator sponsorships, and campaign consulting services (collectively referred to as “Services”). By entering into an agreement with Valpurgis or making any payment, both creators and brands acknowledge and agree to be legally bound by these Terms.
Scope of Agency Services
Valpurgis operates as an intermediary marketing agency bridging content creators and commercial brand partners. Our primary functions include:
- —Connecting verified brands with aligned creators across YouTube, Twitch, TikTok, Instagram, and other major platforms.
- —Coordinating campaign planning, creative briefs, review pipelines, and scheduled publication.
- —Managing escrow disbursements, contract execution, and post-campaign analytics verification.
- —Mediating fair collaboration between all participating parties.
Payment Structure & Invoicing
All campaigns booked through Valpurgis operate under a structured milestone payment standard:
- —50% Advance Retainer: Required prior to campaign kickoff and talent production reservation.
- —50% Final Settlement: Due upon completion and approval of campaign deliverables prior to broadcast.
- —Agency Commission: Valpurgis deducts an agreed percentage on confirmed deal volumes for campaign sourcing and management.
- —All payments must be transacted exclusively through official Valpurgis-approved payment channels.
Strict No-Refund Policy
Due to the immediate allocation of creator production schedules, reserved sponsorship slots, and dedicated campaign management resources:
- •All payments made to Valpurgis are strictly non-refundable under any circumstances once a campaign has been initiated.
- •No refunds will be granted for client-side cancellations, schedule changes, or change of decision post-payment.
- •In the rare event of creator unavailability, Valpurgis will provide an equal-tier creator replacement or campaign credit.
Creator & Brand Obligations
Creator Obligations
- —Follow agreed briefs and delivery milestones.
- —Submit preview drafts for review prior to posting.
- —Maintain original content free of copyright infringement.
Brand Obligations
- —Provide clear guidelines and tracking assets upfront.
- —Adhere strictly to agreed payment schedules.
- —Respect creator creative integrity and usage licenses.
Confidentiality & Mutual NDA
All financial terms, creator rate cards, campaign briefs, and proprietary strategic communications are strictly confidential. Neither party shall disclose or share confidential information with external third parties without prior written consent from Valpurgis.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
